    NANBPWC Trademark License Application

LICENSE FEE NOTICE

During 2005-2006 the National Board of Directors adopted the following policies relevant to Licensing Fees:

Licensing Fee – non-members

Resultant from discussion on the use of our logo on jewelry, a motion was adopted that NANBPWC, Inc. offer licensing opportunities for non-members of the association for the use of our logo, and that an annual licensing fee be $500 for non-member vendors to use our logo. 

Licensing Fee – members

The motion that all Financial1 NANBPWC member vendors be charged a licensing fee of $250 for use of NANBPWC, Inc., with an annual renewal was adopted.

The attached “NANBPWC, Inc. Use of Name, Logo and Marks Policy” approved by the 2006-2007 National Board of Directors was distributed to the 2007 National Convention Body.

USE OF NAME, LOGO AND MARKS POLICY

The name and logo are registered and protected trademarks of the National Association of the Negro Business and Professional Women’s Clubs, Inc. which may not be used without the express permission of The National Association of the Negro Business and Professional Women’s Clubs, Inc. This policy helps to ensure immediate recognition, the maintenance of appropriateness, and the prevention of commercial use without compensation to the Association.

Chartered Clubs, districts, and authorized auxiliaries, hereafter called Financial NANBPWC member organizations are permitted to use the name and logos only as follows:

  1. Use of NANBPWC, Inc. Name: A Financial member organization should state that its membership is composed of members of The National Association of Negro Business and Professional Women’s Clubs, Inc. and should identify themselves only as “The ___________ Club/District, or authorized auxiliary of The National Association of Negro Business and Professional Women’s Clubs, Inc a Financial member organization. No organization or person may imply that it is acting with the authority or as an agent of the NANBPWC, Inc. or that it is affiliated with NANBPWC, Inc. unless it has been named as such by the National Board of the NANBPWC, Inc. No other use of the Association’s name is authorized, unless a license contract has been issued and signed for that specific purpose.
  2. In-house Use of Trademarks: The Financial member organization may use the Association name or logo for “in-house” purposes such as on posters, signs and banners dealing with the programs and activities of the Association, provided such use reflects positively on the Association and the logo is reproduced accurately. No alteration of the Association’s logo is allowed.
  3. Sale of Merchandise: Any sale of merchandise with the Association name, logo or marks must fully comply with the Trademark and Licensing Policy established by the National organization. The Financial member organization and their designated members may produce for give away, products (such as t-shirts) bearing the Association trademark combined with the name of their organization or activity for purposes of internal use by club members without Association permission and without payment of licensing fees, provided the usage reflects positively on the Association. Any merchandise sold to persons outside of the Financial member organization and/or to the public that contains the Association’s name and/or marks must be approved as required under the Trademark and Licensing Policy and will be subject to the payment of a licensing fee. Other organizations intending to sell merchandise that contains the Association’s logo, name, NANBPWC, Inc., B&P, BPW or any other marks registered or purporting to represent a logo/mark of the Association must receive advance approval by the National Board of Directors, as outlined in the Trademark and Licensing Policy.
  4. Use on Organization’s Website: The Financial member organization may use the name, logo and marks of the Association in connection with the National, District or Club’s official website subject to the following restrictions:

a.      Use of the Association name must be consistent with applicable Trademark and Licensing policies and the limitations contained herein.

b.      The Web page content may not include language or images that are offensive or otherwise reflected inappropriately on NANBPWC, Inc.

c.       The name, logos or marks may not be used in conjunction with commercial advertising, unless license contract has been issued and signed for that specific purpose.

d.      The marks may be enlarged or reduced, but not altered or distorted in any other way. No other uses of the Association’s name or logos are allowed.

  1. Licensing Fees: Licensee (Vendor/Exhibitor) shall pay to Licensor (NANBPWC, Inc.), as a license fee for the use of the name, logos or marks, an annual license fee of $250.00 for Financial with The National Association of Negro Business and Professional Women’s Clubs at the national, district and local levels, or $500.00 for non members. The fee includes a $50.00 non-refundable processing fee. This annual license fee will be effective for one year, expiring one year from date of issue.

Members or Vendors desiring use of NANBPWC, Inc logo, name or marks shall secure an agreement by contacting the National Resource Development Coordinator at: ResourceDevelopment@nanbpwc.org.

1”Financial”(Member and/or Club) is defined as having dues and assessments paid and has met local, district, and National financial requirements under the Trade-Name License Agreement.
